These Terms of Use govern your access to and use of Plate n Pallet.
In these Terms, “Plate n Pallet,” “PnP,” “we,” “us,” or “our” means SIU, SAU WAI trading as Plate n Pallet, ABN 14 656 047 616.
By accessing or using Plate n Pallet, submitting a form, creating a profile, joining a waitlist, participating in a sample, trial, activation, training session or event, or otherwise interacting with Plate n Pallet, you agree to these Terms.
If you do not agree to these Terms, you should not use Plate n Pallet.
1. About Plate n Pallet
Plate n Pallet is a curated business-to-business hospitality community and partnership platform designed to help hospitality operators and suppliers discover, understand, connect and build better commercial relationships.
Plate n Pallet may provide supplier profiles, operator profiles, profile summaries, profile-completeness indicators, matching signals, content, samples, trials, events, activations, training, community features, editorial features, introductions and other business-development tools.
Plate n Pallet may facilitate introductions, discovery, matching and business-development opportunities between users. However, unless expressly agreed in writing, Plate n Pallet is not a party to, agent for, representative of, guarantor of, or decision-maker in any transaction, contract, purchase, order, supply arrangement, sample arrangement, activation, event participation or commercial relationship between users.
Plate n Pallet is not a procurement adviser, auditor, certifier, product tester, insurer, legal adviser, financial adviser or guarantor of supplier or operator performance.
2. Eligibility and business use
Plate n Pallet is intended for users who are at least 18 years old and using the platform for business, professional or hospitality-industry purposes.
By using Plate n Pallet, you represent that:

you are at least 18 years old;

you have authority to submit information on behalf of the business, venue, supplier, operator or organisation you represent;
-
the information you provide is accurate, current, complete and not misleading;
-
your use of Plate n Pallet complies with applicable laws and these Terms.
3. Accounts and access
You are responsible for maintaining the confidentiality of your account login details and for activity that occurs under your account.
Plate n Pallet may, acting reasonably, restrict, suspend, remove, refuse, limit or change access to accounts, profiles, features, events, samples, trials, activations or platform areas where Plate n Pallet considers there are reasonable grounds to do so, including for safety, misuse prevention, eligibility, platform integrity, legal compliance, legitimate commercial or operational reasons, technical reasons, suspected unauthorised activity, or breach of these Terms.
Where practicable, Plate n Pallet will aim to provide notice before or after taking significant account action. However, Plate n Pallet may act without prior notice where it reasonably considers this appropriate for safety, security, misuse prevention, legal compliance, platform integrity or risk-management reasons.
Plate n Pallet may use automated tools, AI-assisted systems, manual review or third-party systems to help manage access and platform activity, but Plate n Pallet is not obliged to manually review every account, profile, submission, match, content item or output.
4. User-submitted information
You are responsible for all information, content, documents, images, feedback, comments, claims, profile details and materials you submit to Plate n Pallet.
You agree that information you provide to Plate n Pallet:

is accurate, current, complete and not misleading;

does not infringe another person’s rights;
-
does not breach confidentiality, privacy, employment, contractual, intellectual property or legal obligations;
-
is submitted with proper authority;
-
may be used by Plate n Pallet for the purposes described in these Terms and the Privacy Policy.
You should not submit confidential, commercially sensitive, personal or restricted information unless you are authorised to do so and comfortable with the way that information may be used for the relevant feature.
5. Supplier responsibilities
If you submit supplier information, you are responsible for ensuring that all supplier claims, product claims, service claims, pricing statements, availability statements, certifications, compliance statements, ESG statements, sustainability statements, social-impact statements, capability statements and performance claims are accurate, current, evidence-backed where relevant, and not misleading.
Supplier information may include information about:

business identity and registration;
-
product and service categories;
-
brands, catalogues, product lists, images or assets;
-
service regions, operator fit and venue fit;
-
ordering, delivery, logistics and support capability;
-
pricing model, payment terms, samples, discounts, rebates, market support or commercial conditions;
-
compliance, quality, insurance, food safety, WHS, data, cyber, privacy, recall or risk-related matters;
-
ESG, sourcing, packaging, carbon, community or social impact matters;
-
training, equipment, maintenance and account support;
-
marketing, events, activations and content support;
-
references, case studies, performance indicators, awards or accreditations.
Suppliers should not describe a claim as certified, verified, guaranteed, approved, sustainable, compliant, exclusive, best-priced, lowest-priced, risk-free or independently assessed unless they have a reasonable basis and evidence for that claim.
Plate n Pallet may request evidence, clarification or correction, but Plate n Pallet is not responsible for independently verifying every supplier claim.
6. Operator responsibilities
If you use Plate n Pallet as an operator, venue, buyer, chef, procurement professional, venue manager, hotel team member, hospitality professional or business representative, you are responsible for making your own assessment before engaging, purchasing from, contracting with, trialling, recommending, relying on or introducing any supplier.
Operators are responsible for their own due diligence, including suitability checks, pricing checks, commercial negotiations, contract review, compliance checks, insurance checks, safety checks, product testing, allergen checks, quality checks, operational checks and legal review where relevant.
Plate n Pallet does not guarantee that a supplier is suitable for your business, compliant with your requirements, available in your location, able to supply on your preferred terms, or appropriate for your venue, guests, customers, brand standards or procurement process.
7. Supplier profiles and discovery outputs
Plate n Pallet may use supplier-submitted information, operator-submitted information, supporting documents, automated tools, AI-assisted systems, matching logic, user activity, third-party information and internal criteria to create supplier profiles, summaries, profile-completeness indicators, matching or match-fit signals, visibility signals and discovery outputs.
These outputs are decision-support tools only.
They are not:

legal advice;
-
procurement advice;
-
financial advice;
-
quality assurance;
-
certification;
-
endorsement;
-
guarantee of supplier quality;
-
guarantee of product suitability;
-
guarantee of supplier performance;
-
guarantee of pricing, availability, supply continuity or compliance;
-
substitute for operator due diligence.
Plate n Pallet may change, remove, hide, limit, recalculate or update profile indicators, labels, summaries, matching logic or visibility signals from time to time.
8. Automated tools and AI-assisted content
Plate n Pallet may use automated tools, AI-assisted systems, matching logic, workflow automation and third-party technology providers to operate, improve, personalise, moderate and develop the platform.
Automated or AI-assisted tools may assist with:

profile summaries;
-
supplier categorisation;
-
operator categorisation;
-
profile-completeness indicators;
-
matching suggestions;
-
match-fit or visibility signals;
-
fraud-prevention or misuse-prevention checks;
-
moderation support;
-
content support;
-
internal administration;
-
platform analytics.
Automated or AI-assisted outputs may be incomplete, inaccurate, outdated, biased, unsuitable, unsafe or based on information provided by users or third parties.
Unless Plate n Pallet expressly states otherwise in writing, automated or AI-assisted outputs are provided for general decision-support purposes only and should not be treated as verified facts, professional advice, certification, endorsement or a guarantee.
Plate n Pallet may review, edit, remove, restrict, correct or rely on automated or AI-assisted outputs, but is not obliged to manually review every output, profile, match, summary or piece of content before it is used or displayed.
Users are responsible for evaluating automated or AI-assisted outputs before relying on them or sharing them.
9. Feedback and user content
Plate n Pallet may allow or invite users to submit feedback, comments, testimonials, case studies, survey responses or other content.
Plate n Pallet may use automated tools, manual review or third-party systems to help identify, restrict, remove or manage content that may be false, misleading, unlawful, harmful, irrelevant, confidential, commercially sensitive, defamatory, spam-like or inconsistent with these Terms or platform rules.
Plate n Pallet does not guarantee that all false, misleading, inappropriate or unlawful content will be identified or removed.
Users are responsible for ensuring that the content they submit is accurate, genuine, authorised, not misleading, and does not infringe the rights of others.
10. Samples, trials, activations, training and events
Plate n Pallet may offer or facilitate samples, trials, tastings, demos, activations, training sessions, events or other participation-based opportunities.
These opportunities may be subject to eligibility criteria, capacity limits, location limits, supplier availability, category fit, operator fit, verification checks, expiry dates, platform rules, supplier terms, event rules or other conditions.
Plate n Pallet does not guarantee that any user will receive a sample, invitation, introduction, activation, supplier opportunity, operator opportunity, sale, lead, commercial outcome or business result.
Plate n Pallet may change, pause, cancel, restrict or remove events, samples, trials, activations, training or participation features where it reasonably considers appropriate.
11. Content licence
When you submit, upload, provide or approve content for Plate n Pallet, including text, images, videos, audio, logos, profile information, comments, feedback, quotes, case studies or other materials, you grant Plate n Pallet a non-exclusive, worldwide, royalty-free licence to host, store, copy, display, publish, edit, adapt, distribute and use that content for the purpose of operating, promoting, improving and developing Plate n Pallet.
You confirm that you have the rights and permissions needed to grant this licence.
Where identifiable people, private venues, third-party brands, client names, logos or sensitive materials are involved, Plate n Pallet may request additional consent or approval before publication.
You may ask Plate n Pallet to remove or update published content by contacting info@platenpallet.com. Plate n Pallet will consider requests but may retain records where reasonably required for legal, administrative, audit, integrity or business-record purposes.
12. Data use and commercial information restrictions
Users may only access, use, copy, share or rely on Plate n Pallet information for legitimate platform participation, supplier discovery, operator assessment, business communication, event participation, activation participation or other purposes permitted by Plate n Pallet.
Users must not use Plate n Pallet, platform information, supplier information, operator information, profile information, feedback, private documents, pricing information, commercial information or contact details to:
-
create or support competitor-intelligence reports;
-
scrape, harvest, sell, export or repackage Plate n Pallet data;
-
share one supplier’s private pricing, rebates, margins, customer lists, customer strategy or commercial terms with another supplier;
-
show one supplier’s private commercial terms to another supplier so they can undercut or target that supplier;
-
disclose an operator’s confidential buying needs, volume, current supplier, budget or strategy without permission;
-
publish private documents, insurance certificates, compliance documents, commercial terms or restricted information without authority;
-
use form data for unrelated marketing without proper consent;
-
give supplier-funded partners unfair access to private operator information without disclosure or consent;
-
use internal, negative or confidential feedback publicly in a way the submitter would not reasonably expect;
-
misuse supplier or operator information for unlawful, misleading, anti-competitive, harassing, discriminatory or unauthorised purposes.
Plate n Pallet may restrict, remove or decline to publish information that appears confidential, commercially sensitive, legally risky, privacy-sensitive, competitively sensitive or inappropriate for the platform.
13. Confidentiality and commercially sensitive information
Users should not submit information that is confidential, commercially sensitive, restricted, legally privileged or subject to third-party rights unless they are authorised to do so.
Plate n Pallet is not responsible for loss arising from a user submitting information they were not authorised to share.
Plate n Pallet may restrict, remove or decline to publish information that appears confidential, commercially sensitive, legally risky, privacy-sensitive, competitively sensitive or inappropriate for the platform.
14. Competition law and prohibited commercial conduct
Users may not use Plate n Pallet to engage in anti-competitive, unlawful or improper conduct.
This includes using Plate n Pallet to:
-
coordinate prices, discounts, rebates, margins, fees or surcharges with competitors;
-
share competitively sensitive information with competitors;
-
rig bids, tenders, quotes or procurement processes;
-
divide markets, customers, territories or suppliers;
-
restrict supply or output;
-
pressure another business to deal or not deal with a supplier or operator;
-
exchange information for the purpose of reducing competition;
-
misuse confidential information obtained through Plate n Pallet.
Supplier and operator information should be used only for legitimate business discovery, assessment, communication and platform participation.
15. Prohibited conduct
You may not:
-
create fake, misleading or unauthorised accounts;
-
impersonate another person, supplier, operator, venue or organisation;
-
submit false, misleading, defamatory, unlawful or unauthorised information;
-
scrape, harvest, copy, sell, export or misuse platform data;
-
use Plate n Pallet to spam, harass, threaten, discriminate against or mislead others;
-
upload malicious code or interfere with platform security;
-
reverse engineer or misuse automated tools, matching logic or other proprietary platform logic;
-
use Plate n Pallet for unlawful, harmful, deceptive or abusive conduct;
-
bypass access controls or use information outside the purpose for which it was provided.
16. Moderation and enforcement
Plate n Pallet may, but is not obliged to, review, edit, restrict, remove, hide, suspend, decline, label or manage accounts, profiles, content, comments, events, activations, samples, trials, matches, introductions or platform access.
Plate n Pallet may take action where it reasonably considers that a user, profile, claim, document, content item, activity or account may be inaccurate, misleading, unlawful, harmful, confidential, commercially sensitive, inappropriate, fraudulent, spam-like, inconsistent with platform rules, or otherwise risky for Plate n Pallet or users.
Plate n Pallet’s decision whether or not to remove, edit, restrict or act on content does not create any obligation or liability to a user.
17. Third-party services, suppliers and operators
Plate n Pallet may include links, profiles, content, offers, events, samples, trials, activations or information involving third-party suppliers, operators, venues, platforms, service providers or partners.
Plate n Pallet is not responsible for third-party websites, services, products, claims, conduct, content, pricing, availability, delivery, quality, compliance, safety, contracts or performance.
Any transaction, contract, purchase, order, sample, trial, activation, event, introduction or commercial relationship between users is between those users unless Plate n Pallet expressly agrees otherwise in writing.
18. Intellectual property
Plate n Pallet owns or licenses the intellectual property in the Plate n Pallet name, brand, website, platform design, content, templates, matching logic, documents, graphics, copy, systems and materials, except for user-submitted content and third-party materials.
You may not use Plate n Pallet’s name, logo, brand assets, content, templates, matching logic, platform materials or other intellectual property without Plate n Pallet’s permission, except as permitted by law or these Terms.
Users retain ownership of their own content, subject to the licence granted to Plate n Pallet under these Terms.
19. Fees and paid features
Plate n Pallet may introduce paid features, subscriptions, supplier services, sponsorships, activations, promotions, events, tickets or other commercial products.
Fees, inclusions, exclusions, refund terms, cancellation rules and payment terms may be set out at the time of purchase or in additional terms.
Plate n Pallet may change pricing, features or availability from time to time. Where a pricing change affects an existing recurring paid service, Plate n Pallet will provide reasonable notice before the change takes effect where required by law or reasonably practicable.
20. Disclaimers
To the maximum extent permitted by law, Plate n Pallet provides the platform, content, profiles, indicators, AI-assisted outputs, summaries, matching signals, samples, events, activations and other features on an “as is” and “as available” basis.
Plate n Pallet does not guarantee that:
-
the platform will be uninterrupted, error-free or secure;
-
profiles, summaries, AI-assisted outputs or matching signals will be accurate, complete or current;
-
suppliers will perform as expected;
-
operators will engage, buy, trial or respond;
-
samples, events, activations or introductions will be available;
-
any commercial outcome, sale, lead, partnership, saving, return, visibility or business result will occur.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded, restricted or modified under applicable law.
21. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, consequential, special, incidental or economic loss, loss of profit, loss of revenue, loss of opportunity, loss of goodwill, loss of data, business interruption, reputational harm or loss arising from use of or reliance on Plate n Pallet.
To the maximum extent permitted by law, Plate n Pallet’s total aggregate liability arising out of or in connection with these Terms or the platform is limited to the greater of:
-
AUD $500; or
-
the fees paid by you to Plate n Pallet in the 12 months before the event giving rise to the claim.
This limitation does not apply to liability that cannot lawfully be limited, or to liability arising from Plate n Pallet’s fraud, wilful misconduct or deliberate unlawful conduct.
Nothing in this section excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded, restricted or modified.
This section does not limit a user’s payment obligations, obligations under the content licence, data use restrictions, confidentiality obligations, intellectual property obligations, or indemnity obligations under these Terms, except where such obligations cannot lawfully apply.
22. Indemnity
You agree to indemnify Plate n Pallet against loss, liability, cost, expense, claim or demand to the extent it arises from:

your breach of these Terms;
-
your unlawful, misleading, unauthorised or improper conduct;
-
information, content, claims or documents you submit to Plate n Pallet;
-
your infringement of another person’s rights, including intellectual property, privacy, confidentiality or contractual rights;
-
your misuse of Plate n Pallet, platform data, supplier information, operator information or automated or AI-assisted outputs;
-
your transaction, dispute or relationship with another user, supplier, operator or third party,
except to the extent the loss is caused by Plate n Pallet’s own unlawful conduct, fraud, wilful misconduct or liability that cannot lawfully be excluded.
23. Termination
You may stop using Plate n Pallet at any time.
Plate n Pallet may, acting reasonably, suspend, restrict or terminate your access to the platform or any feature where Plate n Pallet considers there are reasonable grounds to do so, including breach of these Terms, suspected misuse, legal risk, security risk, platform integrity concerns, repeated complaints, suspected unlawful activity, or legitimate operational reasons.
Where practicable, Plate n Pallet will aim to provide notice before or after suspension, restriction or termination. Plate n Pallet may act without prior notice where it reasonably considers immediate action appropriate.
Sections that by their nature should continue after termination will continue, including sections relating to user responsibility, content licence, data use restrictions, disclaimers, liability, indemnity, confidentiality, intellectual property, disputes and governing law.
24. Changes to these Terms
Plate n Pallet may update these Terms from time to time.
The latest version will be published on www.platenpallet.com.
Where Plate n Pallet makes material changes that are likely to significantly affect existing users, Plate n Pallet will take reasonable steps to provide notice before those changes take effect where practicable.
Changes will not apply retrospectively unless required by law or expressly agreed.
Updated Terms will apply from the date stated in the updated Terms or notice. If you do not agree to the updated Terms, you should stop using Plate n Pallet. Your continued use of Plate n Pallet after the updated Terms take effect may be treated as acceptance of the updated Terms.
25. Governing law
These Terms are governed by the laws of New South Wales, Australia.
The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts that may hear appeals from those courts.
